Eu nomeei esse projeto e proposta como uma \u201cAquisi\u00e7\u00e3o Twin-Pack\u201d. Isso fez sentido para mim, j\u00e1 que a ChemChina \u00e9 um grupo de empresas estatais e plantas que produzem pesticidas gen\u00e9ricos, afinal. Tal aquisi\u00e7\u00e3o Twin-Pack abriria um canal para esse mercado de forma bastante r\u00e1pida e eficiente.<\/p>\n<p>A ChemChina n\u00e3o mordeu a isca. Eles estavam inflex\u00edveis de que queriam fazer uma grande aquisi\u00e7\u00e3o na ind\u00fastria qu\u00edmica agr\u00edcola, valendo pouco mais de $40 bilh\u00f5es naquela \u00e9poca, e o alvo tinha que ser uma empresa focada em P&amp;D. Dinheiro n\u00e3o era problema com um arsenal de $10 bilh\u00f5es, que parece ter aumentado quatro vezes ou mais, a julgar pelo pre\u00e7o \u00e0 vista proposto de $43 bilh\u00f5es em oferta agora pela Syngenta.<\/p>\n<p>Quais s\u00e3o as potenciais implica\u00e7\u00f5es caso esse acordo iminente entre a ChemChina e a Syngenta avance e seja fechado?<\/p>\n<ul>\n<li><strong>Para a ChemChina e para a pr\u00f3pria China<\/strong>:<\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">De uma s\u00f3 vez, e da noite para o dia, a ChemChina finalmente teria tecnologias significativas e de ponta na s\u00edntese e desenvolvimento de nova qu\u00edmica agr\u00edcola, modifica\u00e7\u00e3o gen\u00e9tica (GM) de sementes de culturas e desenvolvimento de pesticidas biol\u00f3gicos cujos mercados est\u00e3o crescendo rapidamente em regi\u00f5es agr\u00edcolas avan\u00e7adas, como a UE, EUA e Jap\u00e3o.<\/p>\n<p style=\"text-align: left;padding-left: 30px\">A China tem se envolvido com s\u00edntese e desenvolvimento de qu\u00edmica agr\u00edcola nova e inovadora por meio do Shenyang Pesticide Research Institute (agora de propriedade da Sinochem, uma empresa estatal irm\u00e3 da ChemChina) por muitos anos, mas as barreiras de entrada s\u00e3o t\u00e3o enormes que seria extremamente dif\u00edcil para eles terem sucesso. S\u00e3o necess\u00e1rios mais de $250 milh\u00f5es de investimentos ao longo de um per\u00edodo de 7 a 10 anos para colocar um no mercado.<\/p>\n<p style=\"padding-left: 30px\">Na arena das sementes GM, as barreiras \u00e0 entrada s\u00e3o ainda mais intranspon\u00edveis \u2014 n\u00e3o do ponto de vista de patentes ou falta de proeza tecnol\u00f3gica, mas simplesmente devido ao bloqueio de condutos essenciais para o mercado para quaisquer novos genes ou caracter\u00edsticas de sementes descobertas. Mais de duas d\u00e9cadas atr\u00e1s, todas as empresas de sementes com sementes de marca populares (nas quais os novos genes precisam ser inseridos) foram adquiridas por um punhado de atuais players globais de sementes GM, incluindo a Syngenta, \u00e9 claro.<\/p>\n<p style=\"padding-left: 30px\">\u00a0No desenvolvimento e marketing da arena de pesticidas biol\u00f3gicos em r\u00e1pido crescimento, tanto a China quanto a \u00cdndia est\u00e3o se envolvendo nesse campo tamb\u00e9m, mas nenhuma delas tem a capacidade de registrar qualquer um deles nas regi\u00f5es agr\u00edcolas avan\u00e7adas altamente regulamentadas mencionadas. Os investimentos e o prazo podem ser menores do que o necess\u00e1rio para registrar um produto qu\u00edmico agr\u00edcola rec\u00e9m-sintetizado, mas ainda s\u00e3o barreiras muito significativas em termos dos dados necess\u00e1rios \u00e0s autoridades regulat\u00f3rias.<\/p>\n<ul>\n<li><strong>Ao \u00f3rg\u00e3o regulador chin\u00eas de sementes geneticamente modificadas:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">Eles sem d\u00favida relaxar\u00e3o suas regras e come\u00e7ar\u00e3o a aceitar sementes de culturas geneticamente modificadas em maior escala, embora n\u00e3o necessariamente favorecendo o portf\u00f3lio da Syngenta.<\/p>\n<ul>\n<li><strong>\u00a0Para a ger\u00eancia e funcion\u00e1rios da Syngenta:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">Tenho certeza de que a ChemChina n\u00e3o tem capacidade para fazer nenhuma mudan\u00e7a, nem tem qualquer desejo de faz\u00ea-lo, p\u00f3s-aquisi\u00e7\u00e3o. Ao contr\u00e1rio de qualquer grande empresa qu\u00edmica agr\u00edcola de propriedade ocidental, com profissionais muito experientes e treinados globalmente, a ChemChina n\u00e3o \u00e9, exceto por alguns gerentes internacionais adquiridos por meio de sua participa\u00e7\u00e3o acion\u00e1ria 60% na Adama (antigamente Makhteshiem Agan), a produtora israelense de produtos qu\u00edmicos agr\u00edcolas gen\u00e9ricos.<\/p>\n<p style=\"padding-left: 30px\">A estrat\u00e9gia de gest\u00e3o p\u00f3s-aquisi\u00e7\u00e3o da ChemChina \u00e9 mais parecida com a japonesa, onde a gest\u00e3o estrat\u00e9gica e di\u00e1ria \u00e9 deixada para as equipes de gest\u00e3o e funcion\u00e1rios existentes das empresas-alvo adquiridas.<\/p>\n<ul>\n<li><strong>Aos acionistas da Syngenta:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">A ChemChina est\u00e1 oferecendo dinheiro, diferentemente do acordo anterior oferecido pela Monsanto, que foi abortado e envolveu dinheiro e a\u00e7\u00f5es.<\/p>\n<p style=\"padding-left: 30px\">Em vista do fato de que h\u00e1 severas penalidades financeiras envolvidas se as negocia\u00e7\u00f5es ChemChina\/Syngenta forem canceladas por qualquer um dos lados, \u00e9 improv\u00e1vel que outro pretendente intervenha para fazer uma oferta melhor enquanto as negocia\u00e7\u00f5es estiverem em andamento. No entanto, se o acordo atual n\u00e3o for aceito, a Syngenta precisar\u00e1 n\u00e3o apenas encontrar um valor ou acordo melhor, mas tamb\u00e9m rapidamente criar estrat\u00e9gias e enfrentar o novo e muito fortalecido concorrente iminente criado pela fus\u00e3o em andamento da Dow e da DuPont.<\/p>\n<ul>\n<li><strong>Aos revendedores de produtos qu\u00edmicos agr\u00edcolas e sementes e aos agricultores:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">N\u00e3o h\u00e1 mudan\u00e7as imediatas previstas na cadeia de suprimentos. A Adama, de propriedade da ChemChina, 60%, sem d\u00favida continuar\u00e1 a fazer o que vem fazendo \u2014 comercializando pesticidas gen\u00e9ricos \u2014 embora alguns estejam em competi\u00e7\u00e3o direta com o pr\u00f3prio portf\u00f3lio de produtos qu\u00edmicos com patentes expiradas da Syngenta. Com o tempo, eles podem elaborar algumas rela\u00e7\u00f5es simbi\u00f3ticas entre as duas entidades, sem d\u00favida.<\/p>\n<p style=\"padding-left: 30px\">Haver\u00e1 uma queda no apoio dos agricultores \u00e0 luz da mudan\u00e7a de propriedade e controle da Syngenta, de uma entidade de propriedade ocidental para uma entidade estatal chinesa? A maioria, se n\u00e3o todos os agricultores, tomar\u00e3o decis\u00f5es com base na economia e nas caracter\u00edsticas e benef\u00edcios do produto, e n\u00e3o com base no nacionalismo. Os \u00faltimos muitos anos de uma propriedade japonesa (Marubeni) bem-sucedida de uma grande distribuidora de produtos qu\u00edmicos agr\u00edcolas e sementes, Helena, nos EUA, demonstraram isso claramente.<\/p>\n<ul>\n<li><strong>Aos produtores de produtos qu\u00edmicos agr\u00edcolas gen\u00e9ricos indianos e chineses:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">Conforme mencionado anteriormente, a ChemChina opera plantas qu\u00edmicas agr\u00edcolas gen\u00e9ricas na China que fornecem por meio da Adama, bem como por meio de outros distribuidores globais e detentores de registro de produtos. Seus concorrentes chineses, totalizando cerca de 2.000 em toda a China, enfrentar\u00e3o uma competi\u00e7\u00e3o mais acirrada no futuro, pois a ChemChina n\u00e3o tem apenas a rede global de clientes da Adama, mas tamb\u00e9m a da Syngenta.<\/p>\n<p style=\"padding-left: 30px\">Para os produtores indianos de produtos qu\u00edmicos agr\u00edcolas gen\u00e9ricos, que tiveram um bom desempenho nos mercados globais devido aos seus investimentos na gera\u00e7\u00e3o de dados necess\u00e1rios para cumprir com as ag\u00eancias reguladoras em todo o mundo, bem como seu melhor dom\u00ednio da l\u00edngua inglesa, a nova ChemChina garantir\u00e1 a eros\u00e3o dessas vantagens comparativas indianas.<\/p>\n<ul>\n<li><strong>Para os demais participantes globais no setor de produtos qu\u00edmicos agr\u00edcolas e sementes geneticamente modificadas:<\/strong><\/li>\n<\/ul>\n<p style=\"padding-left: 30px\">Eles ter\u00e3o que come\u00e7ar a colocar seus chap\u00e9us de pensamento rapidamente para lidar com as entidades fundidas da Dow-DuPont e da ChemChina verdadeiramente globalizada. Esses dois eventos s\u00e3o sem precedentes na ind\u00fastria qu\u00edmica agr\u00edcola e de sementes. Ser\u00e1 uma mudan\u00e7a gigantesca no cen\u00e1rio global de neg\u00f3cios para todos os participantes das ind\u00fastrias de insumos agr\u00edcolas e produ\u00e7\u00e3o de alimentos.<\/p>\n<p style=\"padding-left: 30px\">As ag\u00eancias reguladoras nos EUA e na UE (onde a Syngenta est\u00e1 sediada) que supervisionam o acordo ChemChina-Syngenta ir\u00e3o anul\u00e1-lo?<\/p>\n<p style=\"padding-left: 30px\">\u00c9 dif\u00edcil dizer neste momento, mas certamente \u00e9 muito menos prov\u00e1vel comparado \u00e0 oferta abortada anterior da Monsanto para adquirir a Syngenta.
