Ap\u00f3s o fechamento da aquisi\u00e7\u00e3o proposta da Monsanto, a Bayer permanecer\u00e1 ativa nessas mesmas \u00e1reas como resultado dos programas, produtos e ofertas que adquire da Monsanto.<\/p>\n<p>O pre\u00e7o base de compra de 1,7 bilh\u00e3o de euros antes dos impostos estar\u00e1 sujeito aos ajustes habituais no fechamento. A Bayer usar\u00e1 os recursos da aliena\u00e7\u00e3o anunciada ap\u00f3s impostos e ajustes para refinanciar parcialmente a aquisi\u00e7\u00e3o proposta da Monsanto. A Bayer fornecer\u00e1 uma atualiza\u00e7\u00e3o sobre as sinergias totais esperadas da aquisi\u00e7\u00e3o da Monsanto o mais tardar ap\u00f3s o fechamento da transa\u00e7\u00e3o.<\/p>\n<p>BofA Merrill Lynch e Credit Suisse est\u00e3o atuando como consultores financeiros da Bayer. Os consultores jur\u00eddicos da Bayer s\u00e3o Sullivan &amp; Cromwell LLP; Dentons; Cohen &amp; Grigsby; Redeker, Sellner &amp; Dahs; Baker McKenzie e Noerr LLP.<\/p>\n<p>Em outubro de 2017, a Bayer e a BASF j\u00e1 conclu\u00edram um acordo para a venda de certos neg\u00f3cios da Crop Science por um pre\u00e7o base de compra de 5,9 bilh\u00f5es de euros.
